Terms of Service

1. Agreement to Terms

By accessing or using Stage ("Service"), operated by Stage Inc. ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Stage is an AI-powered code review platform that integrates with GitHub to provide automated analysis of pull requests, including AI-generated summaries, chapter-based file groupings, and risk detection. The Service requires access to your GitHub repositories to function.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration

You must authenticate via GitHub OAuth to use the Service. You are responsible for maintaining the security of your GitHub account and for all activities that occur through your use of the Service. You must notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malicious code, viruses, or harmful content
  • Resell, sublicense, or provide access to the Service to third parties without our prior written consent
  • Use automated tools to scrape, crawl, or extract data from the Service beyond its intended functionality

6. Your Code and Data

You retain all ownership rights to your code and repository data. We access your GitHub repositories solely to provide the Service — analyzing pull requests, generating summaries, and presenting code review insights. We do not claim any intellectual property rights over your code.

You grant us a limited, non-exclusive license to access and process your repository data as necessary to operate the Service. We do not use your code to train AI models. This license terminates when you disconnect your repositories or delete your account.

To provide the Service, your code is transmitted to third-party AI providers (currently Anthropic) for processing. These providers process your code solely to generate responses and do not retain or use your code for model training. For details, see Anthropic's Privacy Policy. We do not store raw source code beyond the temporary processing window required to generate your review.

Upon account deletion or repository disconnection, your account data and AI-generated content are deleted promptly. Generation run metadata is anonymized. For full details on data retention, see our Privacy Policy.

7. AI-Generated Content

The Service uses artificial intelligence to generate code review summaries, chapter descriptions, and risk assessments. AI-generated content is provided for informational purposes only and should not be relied upon as a substitute for human code review. We do not guarantee the accuracy, completeness, or reliability of AI-generated outputs. You are solely responsible for any decisions or actions taken based on AI-generated content.

8. Third-Party Integrations

The Service integrates with third-party platforms, including GitHub. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party services.

9. Payment and Billing

Certain features of the Service may require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees. Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. No refunds or credits are provided for partial billing periods, except as required by law.

We reserve the right to change our pricing with at least thirty (30) days' prior notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Termination

You may stop using the Service at any time by disconnecting your GitHub account and revoking access to the Stage GitHub App. We may suspend or terminate your access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STAGE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Stage Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email to the address associated with your account and by posting the updated Terms on the Service with a new effective date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts. You agree that any claims shall be brought solely in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stage Inc. regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
